Corporate Restructure of National Commercial Bank Financial Group

Advised and represented National Commercial Bank Jamaica Limited (NCBJ), to pursue a corporate restructuring by way of a court approved Scheme by which NCB Financial Group Limited (NCBFG) would become the financial holding company of NCBJ and its subsidiaries. The Scheme required several approvals/non-objections including the shareholders of NCBJ and NCBFG, the Jamaica’s Central Bank, Jamaica’s securities commissions and Stock Exchanges of Jamaica and Trinidad & Tobago. As a consequence of the implementation of the Scheme, the shares of NCBJ were delisted and the shares of NCBFG were listed on the Jamaica Stock Exchange and Trinidad Stock Exchange.
Paradise Project

Advised Rekamniar Frontier Ventures (a shareholder in Eight Rivers Energy Company Limited (“EREC”)) the lead partner on local project development in respect of the development and financing of a 37MW (50 MWP) Utility Solar PV Plant at Paradise Park, Westmoreland, Jamaica to provide “as available” energy to the national electricity grid.
Amalgamation of Radio Jamaica Limited and The Gleaner Company Limited

The transaction was the first merger involving two publicly listed companies and required the approval of shareholders of both companies, the sanction of the court and approval/non-objection of several regulatory and other agencies covering a range of sectors including broadcasting, competition and securities.
